("Sound Energy" or the "Company")

Issue of Equity and Total Voting Rights

Sound Energy, the Moroccan focused upstream gas company, announces that it has issued 322,365 new ordinary shares of 1 pence each in the Company ("Ordinary Shares") following the vesting of restricted stock units previously awarded to former employees of the Company.

Application will be made for the 322,365 new Ordinary Shares, which will rank pari passu with the Company's existing Ordinary Shares, to be admitted to trading on AIM ("Admission"). Dealings in the new Ordinary Shares are expected to commence at 8.00 a.m. on 25 May 2021. 

On Admission, the Company will have 1,467,743,202 Ordinary Shares in issue. No Ordinary Shares are held in treasury. The figure of 1,467,743,202 may be used by the Company's shareholders as the denominator in the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
