Director / PDMR Shareholding
System1 Group plc (AIM: SYS1) announces that it has been informed that, on 26th April 2021, Stefan Barden, a person discharging managerial responsibility (PDMR) in the Company, has in order to effect certain share gifts and "Bed and ISA" transactions, undertaken the following share dealings in ordinary shares in System1 ("Ordinary Shares") at a price of 250 pence per Ordinary Share:
· by way of bed and ISA transactions:
o gifted 7,998 Ordinary Shares to his spouse and 7,998 Ordinary Shares to each of his two dependent children, each of whom are persons closely associated to him;
o gifted 7,998 Ordinary Shares to each of his three brothers; and
o transferred 7,998 Ordinary Shares to his own ISA.
Following the above gifts of Ordinary Shares, his ultimate beneficial ownership is reduced by 23,994 and is now 791,645 Ordinary Shares in total, representing 6.2% of the Company's total voting rights.
