Result of General Meeting

Total Voting Rights

The Company confirms that at today's General Meeting, all resolutions were duly approved.

Accordingly the Company confirms that the 13,250,000 Ordinary Shares conditionally issued pursuant to the Placing (see announcement dated 30 November 2020) (the "Placing Shares") have now been allotted, subject only to Admission. As previously announced an application has been made to the London Stock Exchange for admission to trading of the Placing Shares on AIM and dealings are expected to commence on 21 December 2020 ("Admission").

As also set out in the announcement dated 30 November 2020 and following completion of the Placing, the acquisition of Harspden Wealth Management Limited is anticipated to complete on or around 22 December 2020. A further update will be provided at that time.

For the purposes of the Financial Conduct Authority's Disclosure and Transparency Rules ("DTRs"), the issued ordinary share capital of the Company following Admission will consist of 61,979,921 Ordinary Shares with voting rights attached (one vote per Ordinary Share). There are no Ordinary Shares held in treasury. This total voting rights figure may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interests in, or a change to their interest in, the Company under the DTRs.
