Adjournment of Noteholder Meeting
Sound Energy, the Moroccan focused upstream gas company, announces that, further to the Company's announcement of 28 October 2020 in respect of the Company's proposal set out in its Consent Solicitation Memorandum (the "Proposal") for the restructuring of the Company's Luxembourg listed EUR 28.8m 5.0% senior secured notes (the "Notes"), the meeting of the holders of the Notes (the Noteholders") convened earlier today to consider the Proposal (the "Noteholder Meeting") was adjourned due to lack of the necessary quorum.
An adjourned Noteholder meeting, to consider the Proposal in unamended form, will now be held at 10:00 a.m. on 10 December 2020 (the "Adjourned Noteholder Meeting").
The Adjourned Noteholder Meeting will require a quorum of 25 per cent. of the aggregate principal amount of the outstanding Notes, being considerably lower than the 75 per cent. of the aggregate principal amount of the outstanding Notes that had been required for the Noteholder Meeting.
Notice of the Adjourned Noteholders Meeting will shortly be sent to Noteholders and will be available on the Company's website at www.soundenergyplc.com thereafter.
