Tender Offer Update

Further to the announcement made on 2 November 2020, the Board of VNH confirm that the Company will repurchase 7,585,249 Shares at $2.5857 per share, being the Tender Price calculated in accordance with the terms and conditions of the Tender Offer as set out in Part 4 of the Circular.

It is expected that the distribution payment will be made on or around 16 November 2020.

Total Voting Rights

As at 1 November 2020 and following the Tender Offer, the issued share capital of the Company comprised 42,933,078 Shares. All Shares have 1 vote per share.

Therefore, the total number of voting rights in the Company is 42,933,078 and may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules (DTR).

Capitalised terms and expressions shall have the same meanings as those attributed to them in the Circular.
