Grant of SAYE Options and PDMR Dealings

The Company granted options on Friday 4 September 2020 to the following Person Discharging Managerial Responsibilities ("PDMR") under the Breedon Group Savings Related Share Option Scheme (the "SAYE Scheme").

Under the terms of the SAYE Scheme, Mr McDonald is committed to making contributions over a five-year period.  As at 1 November 2025 these accumulated funds can then be withdrawn from the SAYE Scheme as cash or used to exercise options over Ordinary Shares of nil par value in the Company ('Ordinary Shares') which have been granted at 64.0 pence per ordinary share in accordance with the terms of the SAYE Scheme. Assuming full participation in the SAYE Scheme, Mr McDonald would have an option over the number of Ordinary Shares noted above.

As at today there are 1,687,010,148 Ordinary Shares in issue. This figure may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company.
