FDM GROUP (HOLDINGS) PLC (the "Company")

Notification of transactions by persons discharging managerial responsibilities ("PDMRs")

The Company has been notified that Peter Whiting, a non-executive director of the Company, and his spouse Shirley Whiting, have carried out the following transactions in respect of ordinary shares of £0.01 each in the capital of the Company ("Ordinary Shares"):

1. Transfer on 11 August 2020 by Peter Whiting to Shirley Whiting of 3,500 Ordinary Shares at nil consideration;

2. Sale by Shirley Whiting on 12 August 2020 of 625 Ordinary Shares at a price of £9.97 per Ordinary Share, and subsequent repurchase by Shirley Whiting of those shares into her ISA at a price of £9.985 per Ordinary Share; and

3. Sale by Peter Whiting on 12 August 2020 of 1,725 Ordinary Shares at a price of £9.97 per Ordinary Share, and subsequent repurchase by Peter Whiting of those shares into his ISA at a price of £9.985 per Ordinary Share.

Following the transactions referred to above, Peter Whiting's beneficial interest in Ordinary Shares, including those held by his spouse, remains unchanged at 10,453 Ordinary Shares, representing approximately 0.0096 per cent of the Company's current issued share capital. The notifications set out below, made in accordance with the requirements of Article 19 of the EU Market Abuse Regulation, provide further details of these transactions.
