("Staffline", the "Company" or the "Group")

Annual General Meeting Resolutions

Staffline Group plc, the recruitment and training group, advises that it has withdrawn and will not seek shareholder approval for the following resolutions from the agenda of the Annual General Meeting ("AGM") of the Company's shareholders scheduled to be held at 11.00am tomorrow:

Resolution 9: General authority to allot shares

Resolution 10: Disapplication of pre emption rights (General)

Resolution 11: Disapplication of pre emption rights (Acquisition or Capital Investment)

These resolutions are enabling resolutions that do not affect the strategy or the day-to-day running of the Company. The Directors have no current intention of exercising the authorities under these resolutions and following shareholder consultation, the Company believes that the right course of action is for the Board not to seek shareholder approval for these authorities at the AGM and therefore these resolutions will not be put to the meeting. The withdrawal of these items of business does not affect the validity of the remainder of the resolutions to be proposed at the AGM, or to proxy forms submitted in respect of the remaining resolutions to be put to shareholders for approval.
