In accordance with the FCA Disclosure Guidance and Transparency Rules, Pembroke VCT plc (the "Company") would like to notify the market of the following.

As at 30 November 2019, Pembroke VCT plc's issued share capital consists of 18,099,948 Ordinary Shares with voting rights and 58,381,867 B Ordinary Shares with voting rights. The Company does not hold any shares in Treasury.

Therefore, the issued share capital and total number of voting rights of the Company are 76,481,815. This figure may be used by the Company's shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change of interest in, Pembroke VCT plc under the FCA Disclosure Guidance and Transparency Rules.
