Convocation of the Board of Directors of IRCE SPA

The Board of Directors of IRCE SPA are called for 15 March 2023 at 2.30 pm to discuss and resolve on the following

AGENDA

• 1. Approval of the financial statements for the year ended 31/12/2024;
• 1. Examination of the consolidated financial statements as at 31/12/2024 and related management report and non-financial and Sustainability Report;
• 1. Notice of the Ordinary Shareholders' Meeting;
• 1. Approval of the Annual Report on Corporate Governance;
• 1. Approval of the Report on the Remuneration of Directors;
• 1. Approval of the Report on the purchase and disposal of own shares;
• 1. Approval of the Report on the items on the agenda of the ordinary shareholders' meeting pursuant to art.125-ter Leg. Decree 58/98;
• 1. Internal Auditor's report on the activities carried out in 2024 and approval of the 2025 Internal Audit Plan;
• 1. Presentation of the Supervisory Body's 2024 report according to Leg. Decree 231/2001;
• 1. Update of the 231 Control System with reference to the provisions of Legislative Decree 24/2023 Whistleblowing Decree;
• 1. Miscellaneous, any other business.
