Related Party Transaction

Pursuant to the Company's offer for subscription (the "Offer") of up to £20 million of B Ordinary Shares of 1p each in the capital of the Company, with an over-allotment facility for up to a further £20 million of B Ordinary Shares, as set out in a prospectus issued by the Company on 2 September 2019, the Company has received an application to subscribe for £200,000 of B Ordinary Shares in the 2020/21 tax year under the Offer from Peter Dubens (the "PD Subscription"). 

Peter Dubens holds a majority membership interest in Pembroke Investment Managers LLP, the Company's investment manager, which is a related party of the Company under the Listing Rules, and the PD Subscription is a transaction to which Listing Rule 11.1.10R applies.
