NOTICE

to the holders of the

US$150,000,000 Fixed Rate Reset Callable Guaranteed Subordinated Notes due 2024

(ISIN: XS1103347701)

(the Notes)

NOTICE IS HEREBY GIVEN by Man Group Limited (a company incorporated with limited liability in England and Wales with registered number 08172396 and LEI 5493008DK8RTOTIUZN73) (the Issuer) to the holders of the Notes that the Issuer, having complied with the applicable requirements of Condition 6(g) (Redemption and Purchase Conditions) of the Notes, will redeem the Notes in full on 16 September 2019 pursuant to Condition 6(b) (Redemption at the Option of the Issuer) of the Notes.

As specified in the terms and conditions of the Notes, the Notes shall be redeemed at their principal amount together with unpaid interest accrued to (but excluding) the date of redemption.

Following redemption of the Notes, (i) the Notes will be cancelled and no further interest payments will be made and (ii) request will be made to the London Stock Exchange plc for the listing of the Notes on the Official List and the admission to trading of the Notes on the regulated market of the London Stock Exchange plc to be cancelled.

Unless otherwise defined in this Notice, terms used in this Notice have the meanings given to them in the terms and conditions of the Notes.
