Keras Resources Plc was notified yesterday that 47,881,944 ordinary shares of 0.1p each in the Company ("Ordinary Shares") have been transferred from the Clearwater Trust, whose beneficiaries are members of Russell Lamming's family, to Russell Lamming, Chief Executive officer of the Company at a deemed price of 0.335 pence per share.

Following the above transfer, Clearwater Trust no longer holds any Ordinary Shares.  54,881944 Ordinary Shares are held by Russell Lamming and 14,275,517 shares are held by Parallel Resources Limited, a company wholly owned by Mr Lamming and his spouse. Mr Lamming's total beneficial interest in the issued Ordinary Share capital remains unchanged at 69,157,461 Ordinary Shares, representing  3.02 per cent. of the total issued Ordinary Share capital.
