Total Voting Rights and Share Capital

In accordance with the FCA's Disclosure Guidance and Transparency Rule 5.6.1AR, TClarke plc ("the Company") provides the following updated information:

The Company advises that it has today issued 708,799 ordinary shares of 10p each in order to satisfy the exercise of options under the Company's Sharesave scheme. Following the issue of shares, the Company's issued share capital consists of 42,538,376 ordinary shares of 10p, each with equal voting rights. The Company does not hold any shares in Treasury; therefore, the total voting rights in the Company as at today's date is 42,538,376.

The above figure may be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
