PDMR Transaction

The Company has received notice that, on 30 November 2018, a PDMR, Matthew Williams, exercised nil-cost share options in respect of 1,517,613 ordinary shares of 3.33 pence each in the capital of the Company ("Ordinary Shares") in accordance with the rules of the Topps Tiles 2013 Long Term Incentive Plan (the "Exercise").

Following the Exercise, the Company received notice that Matthew Williams had sold 714,710 Ordinary Shares.

Total Voting Rights

To satisfy the Exercise, The Topps Tiles Employee Benefit Trust (the "EBT") was requested to transfer 1,517,613  Ordinary Shares. Following this transfer the EBT now holds 1,518,694 Ordinary Shares and has waived its right to exercise its voting rights and to receive dividends in respect of the 1,518,694 Ordinary Shares. Accordingly, the total number of voting rights in the Company will be 194,922,277. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.

The notification set out below is provided in accordance with the requirements of the EU Market Abuse Regulation.
