Director/PDMR Shareholding

The Company announces that on 27 November 2018, awards over ordinary shares of 1pence (the "Shares") each in the Company were made to executive directors and PDMRs (the "Awards") in respect of deferred bonuses as follows:

A.            Awards were granted to the following in respect of annual bonuses earned during the financial year 2018 by the participants.

Both Awards were made pursuant to the Deferred Bonus Plan under the umbrella 2018 Brooks Macdonald Long Term Incentive Plan (the "Plan").  The Plan has been established to retain and incentivise key executives and to ensure that the interests of those individuals are closely aligned to the interests of shareholders.  The Awards have been granted in the form of a nil cost option and, subject to the rules of the Plan will vest as follows:

·     31 August 2019 as regards 50% of the Shares subject to it.

·     31 August 2020 as regards 50% of the Shares subject to it

The vesting of the deferred bonus awards are to be satisfied by ordinary shares held by the Brooks Macdonald Employee Benefit Trust (the "EBT"). The Trustees of the EBT make periodic share purchases as they deem appropriate and, as at the current date, hold 225,703 Shares, representing approximately 1.62% of the issued share capital of the Company.
