("Inspiration Healthcare" or the "Company")

Grant of Options

Inspiration Healthcare Group plc (AIM: IHC), the global medical device company, announces that, on 7th November 2018 the Company granted enterprise management incentive options ("EMI Options") over 348,603 new ordinary shares of 10 pence each in the capital of the Company ("Ordinary Shares") to certain persons discharging managerial responsibilities ("PDMRs") and employees under the Inspiration Healthcare Group plc Long Term Incentive Plan ("Option Scheme"). Following this grant, the Company has granted options over a total of 608,941 new Ordinary Shares representing approximately 2% of the Company's existing issued ordinary share capital.

The EMI Options are exercisable at nil cost and are subject to a performance condition, to be measured over a three-year period ending on 31 January 2021, of growth in earnings per Ordinary Share in issue ("EPS") of 40% or more compounded over the three-year period.  If the growth in EPS is less than 40% but greater than 35% the number of EMI Options available for exercise will be capped at 75% of those granted.  If the growth in EPS is less than 35% but greater than 30% the number of EMI Options available for exercise will be capped at 50% of those granted.  If the growth in EPS is less than 30% the EMI Options will lapse.

If they vest and subject to the rules of the Option Scheme, the EMI Options are exercisable for a period of two years following publication of the audited accounts of the Company for the financial year ending on 31 January 2021.
