Eurasia Mining plc ("Eurasia" or "the Company"),
Issue of Equity and Options and Directors Holdings
Eurasia Mining plc ("Eurasia" or "the Company"), the PGM and gold producing company, announces that it has today issued 19,789,466 ordinary shares of 0.1 pence at 0.42 pence per share, being the closing price on 31 October 2018 (the "New Shares") in settlement of invoices for various services including accrued directors fees.
Of the New Shares:
(i) 5,060,000 ordinary shares are being issued to Executive Chairman Christian Schaffalitzky, in lieu of accrued directors fees, bringing his total holding to 81,069,517 or 3.43 % of issued share capital;
(ii) 1,785,714 ordinary shares are being issued to Non-Executive Director Gary Fitzgerald, in lieu of accrued directors fees, bringing his total holding to 22,791,361 or 0.99% of issued share capital;
(iii) 8,658,038 ordinary shares are being issued to Non-Executive Director Dmitry Suschov, in lieu of accrued consulting and director's fees, bringing his total holding, including shares held in a company in which he owns and controls, to 455,727,496 or 19.27% of issued share capital ; and
(iv) A further 4,285,714 shares are issued at 0.42 pence to consultants in lieu of accrued fees.
Accordingly, the Company has today issued a total of 19,789,466 New Shares, Admission has been made to admit the New Shares to trading on AIM and dealings in the New Shares are expected to commence on the 8 November 2018.
Following the issue of the new shares the total number of issued ordinary shares in the Company will be 2,364,470,035 ordinary shares and consequently the total number of voting rights in the Company will be 2,364,470,035. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in the share capital of the Company under the Disclosure and Transparency Rules.
In addition to this share issue, the Board has issued options over 194,000,000 shares to directors and employees of the Company. The options may be exercised at any time until their expiry on 2 November 2022. These options are priced and vest as follows:
(a) 79 million options have an exercise price of 0.42p vesting within 7 days of this announcement;
(b) 60 million options have an exercise price of 0.6p, vesting when the market has achieved this price on a VWAP of 10 days, or at the latest by 31 December 2018;
(c) 55 million options have an exercise price of 0.9p, vesting when the market has achieved this price on a VWAP of 10 days, or at the latest by 30 June 2019.
These options are being granted at the conclusion of a successful mining season and thanks to the patience and perseverance of the Company's team which has received no bonuses or remuneration increases in over five years.
Of these options, the following options are to be granted to the directors:
