Hays plc (the "Company") has been notified that, on 7 September 2018, Paul Venables, Finance Director of the Company, sold 1,019,390 shares in the Company on the London Stock Exchange at a price of 203.995 pence per share. This divestment was part of a planned asset diversification strategy.

Mr Venables retains an interest in 1,619,825 ordinary shares in the Company, owned beneficially or subject to a holding period, with a value of 609% of his salary, and interests through the Company's options and performance-based incentive schemes in a further 1,741,607 shares in the Company.

This significantly exceeds his requirement to hold shares valued at over 200% of salary.
