Notification and public disclosure of transactions by persons discharging managerial responsibilities and persons closely associated with them

The attached notification made under article 19.1 of the Market Abuse Regulation ('MAR') relates to the award under the DS Smith Performance Share Plan ('PSP') on behalf of PDMRs. This announcement is made in accordance with Article 19.3 of MAR.

The Company announces that on Friday 22 June 2018 it granted awards under the Company's Performance Share Plan (PSP) and Deferred Share Bonus Plan (DSBP).

The PSP awards were granted as nil cost options which are subject to criteria relating to the Company's performance over the three year period commencing on 1 May 2018.  The awards were granted by reference to the three day average price of a Share to 21 June 2018 of 523.47 pence and operate subject to the conditions set out in the rules of the Performance Share Plan. They will normally vest, subject to the satisfaction of performance conditions, on the third anniversary of the date of grant, being 22 June 2021.

The awards under the DSBP were granted as nil cost options and will normally vest on the third anniversary of the date of grant, being 22 June 2021

The awards were granted by reference to the three day average price of a Share to 21 June 2018 of 523.47 pence, and operate subject to the conditions set out in the rules of the Bonus Plan.
