Notification of Transactions of Directors/Persons Discharging Managerial Responsibility and Persons Closely Associated with them

The Company was notified on 29 May 2018 that Dr Leonard Polonsky CBE transferred 49,946,319 ordinary shares of 50 pence each in the capital of the Company for nil consideration to the Leonard Polonsky Revocable Trust, a US-established trust of which Dr Polonsky CBE is the sole beneficiary and sole trustee. This being the entire holding of Dr Polonsky CBE in the Company.

Dr Polonsky CBE is a director and The Leonard Polonsky Revocable Trust is deemed to be a person closely associated with Dr Polonsky CBE under Article 19 of the EU Market Abuse Regulation 596/2014.

The Company was informed that these transfers, which took place on 29 May 2018, were for estate planning purposes.

There has been no change in the total number of voting rights in the Company directly or indirectly held by Dr Polonsky CBE as a result of this transfer.
