Notice of Accession of New Guarantor

Pursuant to and with effect from a deed of accession dated 30 April 2018, by and among, MCB Finance Group Limited (the "New Guarantor") and The Law Debenture Trust Corporation p.l.c. (the "Trustee"), the New Guarantor has acceded as an additional guarantor to the trust deed dated 4 May 2017 between, among others, the Issuer and the Trustee and has agreed to guarantee the following notes issued by the Issuer under the EMTN Programme on an unconditional, irrevocable and joint and several basis:

·    EUR 28,250,000 4.25 per cent. notes with a maturity date of 23 May 2018 (ISIN: XS1072531491)

·    CZK 250,000,000 5.25 per cent. notes with a maturity date of 21 November 2018 (ISIN: XS0996458732)

·    RON 65,500,000 7.0 per cent. notes with a maturity date of 2 December 2018 (ISIN: XS1325222948 and XS1325223086)

·    CZK 200,000,000 5.5 per cent. notes with a maturity date of 10 December 2018 (ISIN: XS1331115773)

·    RON 79,500,000 8.0 per cent. notes with a maturity date of 6 December 2019 (ISIN: XS1527191081)

·    GBP 101,500,000 6.125 per cent. notes with a maturity date of 8 May 2020 (ISIN: XS0919406800)

·    EUR 412,000,000 5.75 per cent. notes with a maturity date of 7 April 2021 (ISIN: XS1054714248)

(the above, together, being the "Notes")

The Notes will continue to benefit from the joint and several guarantee of IPF Holdings Limited, International Personal Finance Investments Limited and IPF International Limited.
