Notification of transactions by Directors / PDMRs

The Company received notification on 5 and 6 March 2018 of the following transactions in its Ordinary Shares by Directors/PDMRs:

Vesting of Shares awarded at nil cost under the Company's Bonus Share Plan ("BSP") and Long Term Incentive Plan ("LTIP")

Awards made under the BSP and LTIP in March 2015 vested on 3 March 2018 to Directors/PDMRs as noted below. Shares were released and sold to cover withholding taxes on 5 March 2018, the first trading day after vesting, at £16.934 per share.

In the case of awards granted under the LTIP in 2015, the relevant performance conditions were met as to 50% (full details can be found in the Company's 2017 Annual Report and Accounts). 50% of the awards therefore vested to the following Directors/PDMRs, net of the shares sold to cover taxes, as noted below. The net shares are subject to a further two-year holding period, during which time they may not be sold or transferred. The remaining 50% of the share awards did not vest and lapsed on the same date.

Bruce Cleaver's and Anik Michaud's 2015 LTIP awards were made prior to their becoming PDMRs, therefore these were not subject to the performance condition or a holding period and have vested and been released in full.
