Novabase, Sociedade Gestora de Participações Sociais, S.A. ("Novabase"), listed company, hereby informs, pursuant to article 248 of the Portuguese Securities Code, that yesterday, together with its indirect subsidiary Novabase – Infraestruturas, Sociedade Gestora de Participações Sociais, S.A., it has entered into a purchase and sale agreement with VINCI Energies Portugal, SGPS, S.A. ("VINCI Energies"), under which it agreed to sell to the latter its Infrastructures & Managed Services business ("IMS Business"), through the sale of the shares representing the whole share capital of (i) Novabase IMS – Infrastructures & Managed Services, S.A. (further to the carve-out of the assets which were not part of the IMS Business), and (ii) two other companies to which the IMS Business developed by Novabase Digital TV – Engenharia de Sistemas para TV Interactiva, S.A. and by Novabase Serviços – Serviços de Gestão e Consultoria, S.A. will be transferred. Additionally, the two entities established a partnership for the promotion of their solutions in their respective markets.
The completion of the sale will occur within the next months, as it is subject to certain usual conditions precedent for this type of transaction, including the non-opposition of the Portuguese Competition Authority.
The price agreed is 38.365 million euros, to be paid on the date of completion of the transaction, subject to certain adjustments, as established in the purchase and sale agreement.
IMS Business, which presently employs circa 400 persons, resulted from the acquisition, in 2003, of the activity in Portugal of General Electric IT Capital Solutions. Since its integration in Novabase, its turnover increased from 33 million euros to 104 million euros in 2015, due to the continuous innovation of its offer and technologic capabilities.
