SDC INVESTIMENTOS, SGPS, S.A. INFORMS ON THE DISPOSAL OF SHAREHOLDINGS IN THE CONCESSIONS AREA

SDC INVESTIMENTOS, SGPS, S.A., public company, informs that its subsidiary, SDC CONCESSÕES, SGPS, S.A., signed an agreement with GLOBALVIA INVERSIONES, S.A.U., company incorporated under Spanish law, for the disposal of Shareholdings in Intevias – Serviços de Gestão, S.A., Scutvias – Autoestradas da Beira Interior, S.A., MRN- Manutenção de Rodovias Nacionais, S.A., Portvias – Portagem da vias, S.A., companies operating under the Beira Interior Concession -, Auto – Estradas XXI Transmontana, S.A., Operestradas XXI, S.A. and Exproestradas XXI, S.A. – companies operating under the Autoestrada Transmontana sub-concession. The acquiring company, GLOBALVIA INVERSIONES, S.A.U. is already a shareholder in the above mentioned concession and sub-concession.

The transaction, which is still subject to the exercise of the rights of other shareholders and to the consent of authorities and entities external to the parties, is expected to be completed during the second quarter of 2017.

The price of the transaction, which includes the assumption, substitution or release of liabilities and payment in cash, is subject to adjustments, mainly those depending on the moment in which it will be possible to materialize it, and is based on an enterprise value of approximately 126.5 million Euros.

It is estimated that the transaction will have a negative impact of approximately 19 million Euros on the consolidated results, an increase in shareholders' equity of approximately 25 million Euros and a reduction in consolidated liabilities of 71 million Euros.
