Sonae – SGPS, SA (Sonae) hereby announces that, through one of its subsidiaries, has reached an agreement with the shareholders of BRIO – Produtos de Agricultura Biológica, S.A. (BRIO) for the acquisition of 100% of BRIO's share capital.

Founded in 2008, BRIO is the first organic supermarket chain launched in Portugal, and operates 6 supermarkets specialised in organic food, all of them with convenient locations in the Lisbon area.

Following the previous agreement for the acquisition of a 51% stake in the share capital of GO WELL and the opening of the first supermarket entirely dedicated to organic and healthy food, the acquisition of BRIO will allow Sonae MC to accelerate the execution of its Health & Wellness strategic growth avenue, namely in the healthy food segment, particulary by benefiting from BRIO's network of stores, the expertise of teams and a larger network of suppliers.

This acquisition fits Sonae's strategic pillar: strengthen and leverage Sonae's key assets and competencies.

The completion of this acquisition is subject to the fulfillment of certain conditions, as foreseen in the agreement.
