ANNOUNCEMENT OF MATERIAL EVENT

Sonae Capital hereby informs that, through its subsidiary SC ASSETS, SGPS, S.A., it has executed today an agreement with Grandavenue72 – Sociedade Imobiliária, S.A., pursuant to which it has sold 100% of the share capital and voting rights of Prédios Privados – Imobiliária, S.A., for the global amount of 30 million euros.

Prédios Privados – Imobiliária, S.A. is the sole owner of the "Efanor Allotment", which is located in Matosinhos, in the Metropolitan area of Porto. This asset has 104,785 square metres of gross construction area above the ground, the great majority of which designated for residential construction, with a small plot designated for services.

The 30 million euros amount will be divided into three instalments totalling 10 million euros, the first paid today, the second and third instalments to be paid up to one year and two years respectively from the date of the transaction.

We also inform that the estimated impact of this sale in Sonae Capital's shareholders equity is positive, totalling approximately 2.0 million euros.

The sale of this real estate asset is included in Sonae Capital's strategy of non-core assets sale, aimed at financing new investment opportunities, enhancing the growth of its portfolio and maintaining an adequate capital structure when considering the Group's portfolio of businesses and real estate assets held.
