Sonae Capital, SGPS, S.A. (Sonae Capital) informs that the Promissory Purchase & Sale Agreement (agreement) celebrated on 28 July 2018 by its subsidiary S.I.I. Soberana – Investimentos Imobiliários, S.A., and Lagune Tróia, S.A. a fully owned subsidiary of Lagune, a company incorporated under the French law, for the sale of the real estate asset identified in Tróia Detailed Plan as "UNOP 3", was canceled today due to the non-verification of one condition precedent.
The signing of the sales deed was, as is habitually the case, subject to a group of conditions precedent, all of which were verified, with the exception of a suspensive condition, dependent on an administrative procedure that was missed within the period agreed between the parties.
It is further noted that Sonae Capital maintains entire confidence in the intrinsic value of its portfolio of real estate assets, namely in the UNOP 3, an asset that stands out for its location and distinguishing features, which assume even more relevance given the current situation.
