ACQUISITION OF LJG GREEN SOURCE ENERGY ALPHA (LIONS)

Pursuant to the set forth in article 17 of Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April, Greenvolt – Energias Renováveis, S.A. (hereinafter "GreenVolt") hereby informs that, through its subsidiaries V-Ridium Solar 45 and V-Ridium Renewables (Romania), it signed today, with Samsung C&T Corporation, LSG Building Solutions, and Green Source Consulting, a contract for the purchase of the photovoltaic solar park LJG Green Source Energy Alpha (LIONS).

The LIONS Solar PV plant is located in southern Romania, with an installed capacity of 45MWp. The total enterprise value for the transaction as of today is about €83mn.

In 2021, EBITDA amounted to €12mn and in 2022 the company estimates a material growth, compared to the previous year's value.

This photovoltaic solar park, in operation since 2013, has registered a stable electricity generation profile, and its revenues comprise of a market component for sales of electricity and a regulated component of green certificates, valid until 2031. The contract for the sale of most of these green certificates, in EUR, is with the German electricity company EON.

This acquisition is part of GreenVolt's strategy, since, on the one hand, the expected profitability is significantly above the company's cost of equity and, on the other hand, it sets the opportunity to optimize the financial return of this asset, either through the establishment of a potential bilateral unregulated power purchase agreement (PPA), and through the optimization of the operational management of the park and a "repowering" potential of this asset in the medium-term.
