PRIVILEGED INFORMATION

The Navigator Company S.A. informs that it has formalized a share purchase agreement representing the entire share capital of GOMÀ-CAMPS CONSUMER, S.L.U, a company based in Zaragoza, Spain, which in turn holds the entire share capital of GOMÀ-CAMPS FRANCE SAS, based in Castres, France (hereinafter jointly referred to as "GC Consumer").

The acquisition of GC Consumer, which had total sales of €115.6 million in 2022, is part of the Navigator Company Group's ambitious growth and diversification plan. The integration of this new plant will enable Navigator to position itself as the second largest Iberian Tissue producer, adding 35,000 tons of annual Tissue paper production capacity, bringing the total to 165,000 tons per year, and increasing annual converting capacity by 60,000 tons to 180,000 tons per year.

The Group intends to incorporate the extensive know-how, talent and long experience of GC Consumer's professionals, providing continuity to the activity developed until now by the Spanish company and exploring opportunities that reinforce the joint operation's positioning in the global market.

This contract is subject to the suspensive conditions which are common in this type of contracts, which must be fulfilled until February 28th, and which concern, namely, the payment of liabilities and the release of guarantees which are currently imposed on GC Consumer's shares.
