CORTICEIRA AMORIM, S.G.PS., S.A. ("CORTICEIRA AMORIM") informs the public and its shareholders of the following:

  • CORTICEIRA AMORIM, through its subsidiary AMORIM CORK, S.A., has entered into an agreement to acquire 55% of 1. the share capital of VMD Group SA ("VMD Group"), based in Pully, Switzerland, for CHF 11.6 M. Completion of the transaction remains subject to the fulfilment of certain conditions by the parties, which will be achieved in the near future.
  • $2.$ Through its 3 subsidiaries – Chaillot Bouchons SA ("Chaillot"), headquartered in Saint-Prex, Switzerland, with two branches in Mendrisio and Sion, Suboeno SA, headquartered in Saint-Prex, Switzerland, and PM CEnologie Consulting Sàrl, headquartered in St-Léonard, Switzerland - VMD Group produces and sells corks, caps, oenological products, and barrels and cellar equipment for the wine industry, boasting a team of 34 employees. During the 2022 financial year, VMD Group generated consolidated sales of CHF 19.8 M.
  • VMD Group is controlled by Vanessa Druz, who represents the fourth generation of the family business, originally 3. founded in Geneva at the end of the 19th century. In the 1980s, Chaillot moved to Allaman in the canton of Vaud, before finally relocating its business to the Glapin industrial estate in Saint-Prex in 2004, where the group's current production site is located. By the late the 1970s, Vanessa Druz's grandmother had entrusted the management of Chaillot Bouchons to her son, Marc-Antoine Druz, Vanessa Druz's father, from whom Vanessa acquired the business knowledge she needed to continue the group's successful development.
