("Bank") hereby informs that, in relation to the Bondholders' Meeting held today, 29 May 2024, to resolve on (i) the merger by incorporation in the Bank of its subsidiary TaxaGest – Sociedade Gestora de Participações Sociais, S.A. ("TaxaGest"), to be carried out through the global transfer of TaxaGest's estate to the Bank; and (ii) the merger by incorporation in the Bank of its controlling shareholder Santander Totta – SGPS, S.A. ("Santander SGPS"), to be carried out through the global transfer of Santander SGPS' estate to the Bank, no opposition to the aforementioned mergers was resolved.
