In accordance with the applicable legal provisions, Greenvolt – Energias Renováveis, S.A. ("Greenvolt" or "Issuer") hereby announces that the above-mentioned share capital increase comprising the issue of 24,065,362 new ordinary, book-entry, nominative shares, without nominal value ("New Shares"), as a result of the conversion of all €200,000,000 convertible bonds issued by Greenvolt on 8 February 2023 and subscribed by GV Investor Bidco S.à.r.l., has been registered with the Commercial Registry Office.
As such, the current share capital of Greenvolt is now of €567,094,274.62 represented by 163,234,408 ordinary, book-entry, nominative shares without nominal value.
The New Shares will be fungible with existing shares of the Issuer and, as of the date of issuance, will entitle GV Investor to the same rights as those of the shares existing before the abovementioned share capital increase.
It is expected that the admission to trading on the regulated market Euronext Lisbon of the New Shares will occur as from 6 June 2024 (inclusive), under the ISIN code PTGNV0AM0001.
