COMMUNICATION

Banco Santander Totta, S.A. ("Bank") hereby follows up on its notice of 18 March 2024, regarding the proposed simplified mergers of the Bank with its subsidiary TaxaGest – Sociedade Gestora de Participações Sociais, S.A. ("TaxaGest") and with its majority shareholder Santander Totta – SGPS, S.A. ("Santander SGPS"), both to be carried out by incorporating each of these companies into the Bank, through the global transfer of their estate to it.

The Bank informs that on 19 November 2024 the approval for these mergers was obtained from the European Central Bank and that it expects to complete the aforementioned mergers by the end of the first quarter of 2025.

In due course, additional information will be provided regarding the above.
