3U takes over competitor OneTel Ad-hoc-announcement transmitted by DGAP. The issuer is solely responsible for the content of this announcement. ——————————————————————————– Effective the 1st of July 2003 3U TELECOM AG acquires all shares in OneTel Telecommunication GmbH, based in Neu-Isenburg. The company is also offering Call-by-Call and Pre-Selection services to end users and with its attractive pricing has reached an excellent market position especially in the Call-by-Call segment. Through this takeover the 3U group expects for the ongoing business year already a significant increase in respect to revenue and income. The transaction amount is in accordance with current industry valuations. As a consequence of the takeover through 3U, OneTel will be able to rapidly extend the business model based on a secure financial foundation. Taking the background of this transaction including the related synergy effects into account, 3U expects for the fiscal year 2004 revenues to exceed EUR 100 million for the group and earnings before tax of more than EUR 10 million. This figure would represent an income per share of more than EUR 1.00. The acquisition is improving the overall strategic position of 3U even more. The 3U group is already one of the leading alternative operators for fixed telephony in respect to revenue and income. With the improvement of the market position in Germany 3U has consequently put its strategy for growth into practice and therewith optimized the conditions for future external and internal growth.
