UPDATE ON THE PROPOSED SPIN-OFF AND SEPARATE LISTING OF SUNSHINE GUOJIAN PHARMACEUTICAL (SHANGHAI) CO., LTD.*

Reference is made to the announcement of 3SBio Inc. (the “ Company ”) dated 31 October 2019 and the Company’s annual results announcement dated 30 March 2020 (collectively, the “ Announcements ”) as well as the Company’s annual report dated 29 April 2020 in relation to the Proposed Spin-off and the Proposed A Share Listing. Unless otherwise defined, terms used in this announcement shall have the same meaning in the Announcements.

The Board is pleased to announce that, according to the registration result announcement published on the website of the CSRC on 24 June 2020, the registration for the Proposed A Share Listing on the STAR Market had been approved by the CSRC in accordance with legal procedures.

Sunshine Guojian and its underwriters in relation to the Proposed A Share Listing on the STAR Market will further discuss and confirm the listing schedule of Sunshine Guojian with the SSE and publish relevant listing documents accordingly.

The Company will comply with the applicable requirements under the Listing Rules and make further announcement(s) pursuant to the Listing Rules as and when appropriate.
