ANNOUNCEMENT

The Board of Directors of The HKCB Bank Holding Company Limited (the "Company") announces that on 17th January, 2002, Mr. Ning Gaoning resigned as Director and Deputy Chairman of the Company, Mr. Lee Wing Hung, Raymond resigned as Managing Director of the Company, Mr. Keung Chi Wang, Ralph and Mr. Gerard Joseph McMahon resigned as Directors of the Company while Mr. Stephen Edward Clark resigned as independent non-executive Director of the Company.

The Board of Directors of the Company is pleased to announce that Mr. Albert Saychuan Cheok was appointed an independent non-executive Director of the Company on 17th January, 2002.

The Board of Directors of the Company would like to express its heartfelt thanks to all resigning Directors for their valuable contributions to the Company in the past.
