Sub: Outcome of the Board Meeting held on Friday, September 29, 2023.

We hereby inform you that the Board of Directors of the Company at its Meeting held on September 29, 2023 (Friday) has transacted the following business items inter-alia others:

1. Approved amendments to the Intellectual Property Agreement with 3M Company USA and 3M Innovative Properties Company (3M IPC), for the provision of technology, intellectual property, products and services to 3M India Limited. With the said amendments, effective retrospectively from April 1, 2023, the royalty payable will now reduce from 2.4% of total turnover to 1.95% of turnover (royalty was 1.54% of turnover in FY 22-23 under the previous rates).

2. Approved a Postal Ballot Notice for approval of Material Related Party Transactions with 3M Company USA (for a period of 1 year), to be sent to the Members of the Company whose names appear in the Register of Members / List of Beneficial owners as on September 22, 2023, being the cut-off date for sending Postal Ballot Notice to the Members who are entitled to e-voting as per the MCA/SEBI Circular.

The Meeting commenced at 10.02 A.M.(IST) and concluded at 10.54 A.M.(IST).
