On 7 June 2022, 3i Group plc (the "Company") was notified of the following.  

On 7 June 2022 Phil White, a person discharging managerial responsibilities ("PDMR") acquired for nil cost 78,990 ordinary shares of 73 19/22p each (ISIN: GB00B1YW4409) in the Company ("Shares") on the release of share awards under the 3i Special Share Award Plan and sold these Shares on the same date at a price of £12.15280 per share.

On 7 June 2022 share awards under 3i Group Discretionary Share Plan (the "Plan") held by the persons discharging managerial responsibilities ("PDMRs") named in the table below vested.  On that date the Shares shown in the column headed "Shares acquired" ceased to be subject to restrictions under the Plan.  The Shares (if any) shown in the column headed "Shares sold" were sold on the same date at a price of £12.15280 per share.
