Directors Subscription

Further to the announcement released earlier today regarding, inter alia, the acquisition of 98.45 per cent. of Audiens and a placing to raise £5 million (the "Placing and Acquisition") Bango plc (AIM: BGO) ("Bango"), the mobile payments company, is pleased to confirm that Ray Anderson and Anil Malhotra, Chief Executive Officer and Chief Marketing Officer of Bango respectively have confirmed their subscription to acquire an additional 5,556 new Ordinary Shares each (a total of 11,112 Ordinary Shares "the Director Subscription Shares") at a price of 180 pence per share to raise a total of £20,000 for Bango (the "Subscription").

Accordingly, the total amount raised by way of the Placing and Subscription is £5.02 million (before expenses) through the issue of 2,788,890 Ordinary Shares at the Placing Price.

Ray Anderson now holds a total of 6,572,816 Ordinary Shares in Bango, representing 9.4 per cent. of the issued share capital following the Placing and Acquisition and Anil Malhotra now holds a total of 3,982,371 Ordinary Shares in Bango, representing 5.7 per cent. of the issued share capital following the Placing and Acquisition.

As previously announced earlier today, 521,803 Consideration Shares were issued to the Sellers of Audiens.

Application has been made to the London Stock Exchange plc for the Placing Shares, Consideration Shares and Director Subscription Shares (together, the "New Ordinary Shares") to be admitted to trading on AIM. It is expected that the Placing will become unconditional, that admission to AIM will become effective and that dealings will commence on 29 January 2018. The New Ordinary Shares will be credited as fully paid and rank pari passu with the existing Ordinary Shares in the capital of Bango. The total issued share capital of Bango, as increased by the New Ordinary Shares, immediately following Admission will be 69,773,683 Ordinary Shares.

All capitalised terms in this announcement have the same meaning as the announcement of the Placing and Acquisition released earlier today.
