Exercise of share options / Transfer of treasury shares

Headlam Group plc ('Headlam' or the 'Company') announces that on 16 January 2018 share options granted under the Headlam Group 2015, 2016 and 2017 Savings Related Share Option Schemes were exercised early in accordance with leaver provisions at an option price of  340.0 pence per share in the case of the 2015 scheme shares, at 400.2 pence per share in the case of the 2016 scheme shares and 499.0 pence per share in the case of the 2017 scheme shares.

A total of 2,237 ordinary shares (in aggregate) have been transferred from treasury stock for the purpose of the exercise of the share options under the various schemes.

Following the above transfer of treasury stock, Headlam held 512,330 ordinary shares as treasury shares. 

The total number of ordinary shares in issue (excluding shares held as treasury shares) is 84,851,413.  Therefore, the total number of voting rights in the Company is 84,851,413.

The above figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
