Total Voting Rights and Capital

In accordance with DTR 5.6.1 of the FCA's Disclosure and Transparency Rules, Premier Foods plc (the 'Company') advises that 2,743,274 additional ordinary shares of 10p each with voting rights were issued in December 2017, following the vesting of the 2014 all employee share save award.

As at 31 December 2017 the Company's issued share capital consisted of 840,228,118 ordinary shares of 10p each with voting rights. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
