Topps Tiles Plc (the "Company")

Total Voting Rights

The Company announces that its total issued share capital as at the 21st December 2017 consists of 196,437,298 ordinary shares of 3.33 pence each in the Company ("Ordinary Shares") with one voting right per share. The Company does not hold any Ordinary Shares in treasury.

Certain employees, none of which were PDMRs, have exercised options over a total of 316,133 Ordinary Shares in accordance with the rules of the Topps Tiles 2013 Long Term Incentive Plan. Following the exercise of options, the Topps Tiles Employee Benefit Trust (the "EBT") transferred 316,133 Ordinary Shares to satisfy the awards.

The EBT now holds 3,362,643 Ordinary Shares and has waived its right to exercise its voting rights and to receive dividends in respect of those shares. Accordingly, the total number of voting rights in the Company will be 193,074,655. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules
