Notification of Transactions of Connected Parties to Persons Discharging Managerial Responsibilities 

The Company has been notified that on 8 December 2017 the following transactions took place:

WA Capital Limited ("WA Capital"), a company controlled by Will Adderley, Deputy Chairman, and Nadine Adderley his wife, transferred 18,000,000 ordinary shares having a par value of 1 pence each in the capital of the Company, constituting 8.9 % of the Company's issued ordinary share capital, to WA Capital Investments Limited ("WA Capital Investments"), a wholly owned subsidiary of WA Capital, at market value. There was no change in the ultimate beneficial ownership of the shares in the Company as a result of this transfer.

As a result of the transfer above, these additional 18,000,000 ordinary shares having a par value of 1 pence each in the capital of the Company are subject to the security interest granted by WA Capital Investments on 20 September 2016 in favour of Barclays Bank plc, as security for any amounts which may be due from time to time under a facility agreement entered into on that date (as amended from time to time). Details of this were announced by the Company on 21 September 2016. Accordingly an aggregate of 36,000,000 shares in the Company are now pledged by WA Capital Investments Limited in favour of Barclays Bank plc.

WA Capital Investments remains the beneficial owner of the shares subject to the pledge, and retains full voting rights. As such, Will Adderley retains an interest in 55,301,779 shares in the Company, which is unchanged as a result of this announcement, and represents 27.4% of the Company's issued ordinary share capital.
