NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

The Company was notified on 6 December 2017 that the following ordinary shares of 5p each were purchased on 4 December 2017 for Helen Gordon and Vanessa Simms, who are directors and persons discharging managerial responsibilities, in relation to the Grainger Employee Share Incentive Plan ("SIP").  The shares were purchased under the SIP and relate to the regular monthly purchases made under the plan and registered in the name of Link Market Services Trustees

As a result of the above transaction, the interests of Helen Gordon and Vanessa Simms and their connected persons in the Company's ordinary share capital (excluding options, awards under the Company's LTIPs and interests as potential beneficiaries of the Company's Employee Benefit Trust) are as follows:
