(the "Company")

Director/PDMR shareholding

The Company has received notice that certain employees, PDMRs and PCAs have transacted in ordinary shares of 1p each in the Company ("Ordinary Shares").

The Company has received notice that, on 31 October 2017, certain employees and one PDMR exercised options over a total of 10,586 Ordinary Shares in accordance with the rules, and due to the maturation, of the Company Share Option Plan ("CSOP"). Pursuant to the exercise of these options, the Company has made an application to the London Stock Exchange for 10,586 new Ordinary Shares to be admitted to trading on AIM ("Admission"). It is expected that Admission will become effective on 6 November 2017.

The Company has also received notice that, on 31 October 2017, certain employees and PDMRs exercised options over a total of 38,753 Ordinary Shares under the Company's existing Long Term Incentive Scheme ("LTIS") Award. No new Ordinary Shares have been issued to satisfy the LTIS awards. Following the exercise of options, the Brooks Macdonald Group Employee Benefit Trust (the "EBT") has transferred 38,753 Ordinary Shares to satisfy the awards. Following this transfer the EBT now holds 196,930 Ordinary Shares, representing 1.43% of the Company's current voting rights.

Following this notification, the Company has 13,815,263 Ordinary Shares in issue.
