Grainger plc (the "Company")

Voting Rights and Section 430 (2B) Companies Act 2006 Statement

In accordance with the Disclosure Guidance and Transparency Rules 5.6.1, The Company announces that as at 10 October 2017:

·     the Company's issued share capital was 417,105,385 ordinary shares of 5p each ("Shares") with voting rights (the "Voting Rights Figure"); and

·     the Company held 1,506,300 Shares in Treasury.

The Voting Rights Figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their voting rights interest, or a change to that interest, in the Company under the FCA's Disclosure Guidance and Transparency Rules.

In addition, further to the announcement made by the Company on 30 August 2017, the section 430 (2B) Companies Act 2006 statement in respect of Nick Jopling is available on the Company's website.
