NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS EXERCISING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

Dunelm Group plc (the "Company") has been notified by Keith Down, Chief Financial Officer, that on 19 September 2017 he exercised nil cost options over 26,488 ordinary shares of one pence each in the Company. These options were granted to him on 7 December 2015 under the terms of the Share Award Agreement approved by shareholders at the AGM on 24 November 2015. Mr Down has sold 8,000 ordinary shares at a price of 647p per share to part fund the tax and national insurance due in respect of this exercise. The balance will be funded from his own funds, including investment of his annual bonus received in respect of the financial year to June 2017, under the terms of the "Life-time Lock-in" set out in the Company's Remuneration Policy.  Subsequently Mr Down has transferred 18,488 shares to his wife, Alison, for nil consideration.

Following the transactions set out above, Mr Down is beneficially interested in 40,098 ordinary shares of one pence each in the Company, 0.02% of the Company's issued ordinary share capital (excluding treasury shares).
