Total Voting Rights and Capital

In accordance with DTR 5.6.1 of the FCA's Disclosure and Transparency Rules, Premier Foods plc (the 'Company') advises that 4,640,928 additional ordinary shares of 10p each with voting rights which were issued in August 2017.

This reflects the issuance of 4,615,000 shares to satisfy the vesting of awards under the Company's Restricted Stock Plan (which was approved by shareholders at the Company's Annual General Meeting on 23 July 2015) and the issuance of 25,928 shares to satisfy the vesting of awards under the Company's Sharesave Plan.

As at 31 August 2017 the Company's issued share capital consisted of 837,301,107 ordinary shares of 10p each with voting rights. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
