Notification and public disclosure of transactions by persons discharging managerial responsibilities and persons closely associated with them

The attached individual notification made under article 19.1 of the Market Abuse Regulation ('MAR') relate to the award under the DS Smith Performance Share Plan ('PSP') on behalf of a PDMR. This announcement is made in accordance with Article 19.3 of MAR.

The Company announces that on Tuesday 18 July 2017 it granted awards under the Company's Performance Share Plan (PSP) and Deferred Share Bonus Plan (DSBP).

The PSP awards were granted as nil cost options which are subject to criteria relating to the Company's performance over the three year period commencing on 1 May 2017.

The award under the DSBP were granted as nil cost options and will normally vest on the third anniversary of the date of grant, being 18 July 2020.

The awards were granted by reference to the three day average price of a Share to 17 July 2017 of 484.7 pence, and operate subject to the conditions set out in the rules of the Bonus Plan.
